This Agreement ("Agreement") is between the Platform MyCrowd Connect ("Platform"), Its owners, and Crowd Owners ("MyCrowd Connect") and its end Users ("User") and made effective upon the User joining a Public Crowd.

Grant of Exclusive Copyrights

User hereby irrevocably assigns, transfers, and conveys to MyCrowd Connect, its successors, assigns, and licensees, all worldwide rights, title, and interest in and to any and all content ("User Content") uploaded, posted, or otherwise provided by User to MyCrowd Connect.

Model Release Agreement

User further acknowledges and agrees that by uploading User Content to MyCrowd Connect, User grants MyCrowd Connect the irrevocable and unrestricted right and permission to use, reuse, publish, and republish photographs, videos, and other media depicting User ("Model"), and any reproductions or adaptations thereof, for any purpose whatsoever, including but not limited to promotional materials, advertising, and online content.

Scope of Rights Granted

The rights granted to MyCrowd Connect herein shall include, but are not limited to, the exclusive right to reproduce, distribute, publicly display, publicly perform, transmit, and create derivative works of the User Content and any media depicting User, in whole or in part, in any medium now known or hereafter devised, for any purpose whatsoever, without any compensation or further approval from User.

Representations and Warranties

User represents and warrants that:
User is the sole owner of the User Content and has full power and authority to grant the rights granted herein;
The User Content and any media depicting User do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party; and User has obtained all necessary permissions, releases, or licenses for any third-party content included in the User Content.

Indemnification

User agrees to indemnify, defend, and hold MyCrowd Connect harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach of User's representations and warranties herein.

Termination

This Agreement shall remain in effect until terminated by MyCrowd Connect.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of NSW Australia. Any disputes arising out of or related to this Agreement shall be exclusively resolved in the courts of NSW Australia.

Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

The User Agreement

The User acknowledges and agrees that by ticking the checkbox confirming acceptance of this agreement upon joining a Public Crowd, The User is entering into this Agreement and granting exclusive copyrights to MyCrowd Connect for the User Content uploaded to the Platform.
